Welcome to RepackAI. These Terms and Conditions ("Terms") govern your use of our website, services, and AI-powered luxury appraisal tools (collectively, the "Services").

By accessing or using RepackAI, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

IMPORTANT: These Terms include a mandatory arbitration clause and class action waiver. Please read them carefully.

1. Acceptance of Terms

By using RepackAI, you represent and warrant that:

  • You are at least 18 years of age
  • You have the legal capacity to enter into binding contracts
  • You are not prohibited from using our Services under applicable law
  • All information you provide is accurate and truthful

2. Description of Services

RepackAI provides:

  • AI-Powered Appraisals: Automated luxury item valuation using GPT-4o Vision
  • Market Data: Real-time pricing information from luxury resale platforms
  • Condition Analysis: AI-driven assessment of item condition
  • Authentication Insights: Preliminary authentication indicators (not professional authentication)
  • Pricing Recommendations: Data-driven pricing strategies

RepackAI is NOT:

  • A marketplace or sales platform
  • A professional authentication service
  • A guarantee of item value or authenticity
  • Financial, legal, or tax advice

3. User Accounts

Account Creation

You may create an account to save appraisals and access premium features. You agree to:

  • Provide accurate, current information
  • Maintain the security of your password
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account

Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or misuse our Services.

4. AI Appraisal Disclaimers (IMPORTANT)

NOT Professional Authentication

Our AI provides preliminary authentication insights based on visual analysis. This is NOT a substitute for professional authentication. For high-value items ($500+), we strongly recommend professional authentication from Vestiaire Collective, The RealReal, Entrupy, or certified authenticators.

NOT a Guarantee of Value

Appraisals are estimates based on market data and AI analysis. Actual selling prices may vary significantly due to:

  • Market fluctuations and demand changes
  • Buyer negotiations and platform algorithms
  • Seasonality and economic conditions
  • Item-specific factors not visible in photos

Accuracy Limitations

While our AI achieves 90-95% brand detection accuracy, errors may occur with:

  • Rare or vintage items with limited training data
  • Poor quality, blurry, or poorly lit photos
  • Counterfeit items designed to deceive
  • Very recent product releases
  • Heavily customized or altered items

No Liability for Losses

RepackAI is not liable for:

  • Financial losses from selling based on our appraisals
  • Purchase of counterfeit items
  • Incorrect pricing recommendations
  • Failed sales or returns
  • Third-party platform disputes

YOU USE REPACKAI'S APPRAISALS AT YOUR OWN RISK. WE PROVIDE INFORMATION TOOLS, NOT PROFESSIONAL APPRAISAL OR AUTHENTICATION SERVICES.

5. Payment and Subscriptions

Free Services

Basic appraisals are free and do not require payment or account creation.

Paid Subscriptions

Premium features require a paid subscription:

  • Subscriptions renew automatically unless canceled
  • Prices are subject to change with 30 days' notice
  • Refunds are provided only as required by law
  • Cancellation takes effect at the end of the current billing period

Payment Processing

Payments are processed securely through Stripe. We do not store your credit card information. You agree to pay all fees associated with your use of premium features.

6. Intellectual Property

Our Content

All content on RepackAI (text, graphics, logos, code, AI models, algorithms) is owned by RepackAI and protected by copyright, trademark, and other intellectual property laws.

Your Content

By uploading images or providing information, you grant RepackAI a worldwide, non-exclusive, royalty-free license to:

  • Process and analyze your images using AI
  • Display your appraisals to you
  • Improve our AI models with anonymized data
  • Comply with legal obligations

Important: We do not claim ownership of your images. You retain all ownership rights.

7. Prohibited Uses

You may not use RepackAI to:

  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Upload malicious code, viruses, or harmful content
  • Attempt to reverse-engineer our AI models or algorithms
  • Scrape, crawl, or automate access to our Services without permission
  • Use our Services for fraudulent or deceptive purposes
  • Authenticate or sell counterfeit goods
  • Harass, abuse, or harm others
  • Impersonate others or provide false information
  • Interfere with or disrupt our Services

8. Third-Party Services

RepackAI integrates with third-party services:

  • OpenAI: AI image analysis (see OpenAI's Terms at openai.com/policies/terms-of-use)
  • Google Custom Search: Market data fetching
  • Stripe: Payment processing
  • Marketplace platforms: We provide links to eBay, Poshmark, etc. (we are not responsible for their content or policies)

Disclaimer: We are not responsible for third-party services, their availability, accuracy, or security. Your use of third-party services is subject to their own terms and policies.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • RepackAI provides Services "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied
  • We disclaim all warranties including merchantability, fitness for a particular purpose, accuracy, and non-infringement
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability shall not exceed the amount you paid us in the past 12 months (or $100 if you used free services)
  • We are not liable for losses caused by: AI errors, market fluctuations, third-party services, user error, or force majeure

Some jurisdictions do not allow limitation of liability for certain damages. In such cases, our liability is limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless RepackAI, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorneys' fees) arising from:

  • Your use of our Services
  • Your violation of these Terms
  • Your violation of any law or third-party rights
  • Content you upload or submit
  • Sale or purchase of items based on our appraisals

11. Dispute Resolution and Arbitration

This section affects your rights and requires binding arbitration and a waiver of class action rights.

Informal Resolution

Before filing a claim, you agree to contact us at legal@repackai.com to attempt informal resolution.

Binding Arbitration

Any dispute arising from these Terms or your use of RepackAI shall be resolved through binding arbitration under the American Arbitration Association (AAA) rules, rather than in court.

Class Action Waiver

You waive the right to participate in class actions, class arbitrations, or representative proceedings. All claims must be brought individually.

Exceptions

Small claims court actions and intellectual property disputes may be brought in court.

12. Governing Law

These Terms are governed by the laws of [Your State/Country], without regard to conflict of law principles. Any legal action must be brought in the courts of [Your Jurisdiction].

13. Changes to These Terms

Upon termination:

  • Your right to use our Services immediately ceases
  • We may delete your account and data
  • Provisions that should survive termination (e.g., disclaimers, limitations of liability) will remain in effect

15. Miscellaneous

Severability

If any provision of these Terms is found invalid, the remaining provisions remain in effect.

Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and RepackAI.

No Waiver

Our failure to enforce any provision does not constitute a waiver of that provision.

Assignment

You may not assign these Terms. We may assign our rights to any affiliate or successor.
